1. Interpretation and Definitions

The words with capitalized initial letters have meanings defined under the following conditions. These definitions shall apply equally whether they appear in singular or plural.

1.2 Definitions

For the purposes of these Terms and Conditions:

  • Application: The software program provided by the Company, downloaded by You on any electronic device, named ReplyCX.
  • Application Store: The digital distribution service operated by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store).
  • Affiliate: An entity that controls, is controlled by, or is under common control with a party.
  • Account: A unique account created for You to access our Service.
  • Country: Refers to Michigan, United States.
  • Company: Refers to Techalpha Group LLC, 41430 Grand River Ave, Suite D, 1st Floor, Novi, Michigan 48375 (also “We”, “Us”, or “Our”).
  • Content: Any text, images, or other information made available by You on the Service.
  • Device: Any electronic device that can access the Service.
  • Feedback: Suggestions or feedback provided by You regarding the Service.
  • Free Trial: A limited period of free access to the Service.
  • In-app Purchase: A purchase made via the Application and governed by Application Store terms.
  • Service: Refers to the Application, the Website, or both.
  • Subscriptions: Access to the Service on a recurring payment basis.
  • Terms and Conditions (Terms): The agreement between You and the Company regarding the Service.
  • Third-party Social Media Service: Any external services integrated with the Service.
  • Website: Refers to ReplyCX, accessible from reply.cx, getreplycx.com, or replycx.com.
  • You: The user of the Service, whether as an individual or on behalf of a company or legal entity.

2. Acknowledgment

These Terms govern your use of the Service and form the agreement between You and the Company. By accessing the Service, You agree to these Terms. If You are under 18 or do not agree, you may not use the Service.

Use of the Service also implies acceptance of our Privacy Policy, which outlines how we handle your data.

3. Subscriptions

3.1 Subscription Period

Service access may require a paid Subscription, billed on a recurring basis (daily, monthly, etc.) unless canceled.

3.2 Subscription Cancellations

You can cancel your Subscription in your account settings or via the Application Store. Refunds are not provided for already-paid periods.

3.3 Billing

You must provide accurate billing details. If automatic billing fails, we will issue an invoice for manual payment.

3.4 Fee Changes

We may modify Subscription fees with prior notice. Continued use after changes implies acceptance of the new fees.

3.5 Refunds

Subscription fees are non-refundable unless required by law or granted at our discretion. For In-app Purchases, refunds are handled by the Application Store.

3.6 Free Trial

We may offer Free Trials. If you enter billing info during the trial, you won’t be charged unless the trial ends and you haven’t canceled.

4. In-App Purchases

  • All purchases are handled by the Application Store.
  • In-app Purchases cannot be canceled, transferred, or refunded (except in case of technical issues).
  • Refunds must be requested directly from the Application Store.

5. User Accounts

  • You must provide accurate info and protect your account credentials.
  • You’re responsible for all activity under your account.
  • Do not use usernames that infringe rights or are offensive.

6. Content

6.1 Your Right to Post Content

You retain ownership of your Content but grant Us a license to use, display, and distribute it via the Service.

6.2 Content Restrictions

You agree not to post illegal, harmful, or infringing Content. We reserve the right to remove such Content and limit your access.

6.3 Content Backups

We perform regular backups but do not guarantee data integrity. Maintain your own backup of any important Content.

7. Copyright Policy

7.1 Infringement Claims

7.2 DMCA Procedure

Submit the following to our Copyright Agent:

  • Your signature
  • Description of the copyrighted work
  • URL of the infringing material
  • Your contact info
  • A good-faith statement

8. Intellectual Property

The Service (excluding user content) is owned by the Company and protected by intellectual property laws. You may not use our trademarks without permission.

9. Feedback

You grant us full rights to use and commercialize any Feedback you provide.

10. Links to Other Websites

We are not responsible for third-party websites or services linked within our Service. Use them at your own risk.

11. Termination

We may suspend or terminate your account for violating these Terms. Upon termination, you lose access to the Service.

12. Limitation of Liability

Our liability is limited to the amount You paid or $100 USD (whichever is lower). We are not liable for indirect or consequential damages.

13. “AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided without warranties of any kind. We do not guarantee it will be uninterrupted, error-free, or meet your expectations.

14. Governing Law

These Terms are governed by the laws of Michigan, United States.

15. Dispute Resolution

Please contact us first to resolve any issues. EU residents may also rely on consumer protections in their local jurisdiction.

16. U.S. Legal Compliance

You affirm you’re not in a sanctioned country or on any U.S. government restricted list.

17. Severability & Waiver

If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

18. Translation

In case of conflict, the original English version of these Terms shall prevail.

19. Changes to Terms

We may update these Terms with 30 days’ notice for major changes. Continued use of the Service after updates implies acceptance.

Mobile Messaging Terms

Mobile Messaging Program Description
ReplyCX (“we,” “our,” “us”) operates a mobile messaging program (“ReplyCX Alerts”) subject to these Mobile Messaging Terms and Conditions.
By opting in, you agree to receive SMS and MMS messages from ReplyCX, which may include account authentication codes, account updates, loyalty notifications, order status updates, non-promotional greetings, and customer support communications.
Message Types & Frequency
Message frequency varies depending on your activity and interactions with participating merchants. Typical use cases include one-time passcodes (OTPs), account changes, order and pickup confirmations, loyalty program notices, and 1:1 customer support conversations (via live agent or automated assistant).
Charges & Carriers
Msg&data rates may apply. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your mobile service provider and network availability.
Opt-In
You may opt in through:Providing your mobile number during account creation, checkout, or loyalty enrollment with participating merchants, with an accompanying disclosure or by Texting an opt-in keyword (e.g., START or SUPPORT) to the ReplyCX short code
Opt-Out
You can cancel at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any ReplyCX message. After you send a STOP request, we will confirm by SMS that you have been unsubscribed. You will not receive further messages unless you re-enroll. To resubscribe, text START to the ReplyCX short code.

Participating Merchants
Messages may reference participating merchant names for context (e.g., “Your order from [[MerchantName]]…”), but the ReplyCX program is operated solely by ReplyCX. All messaging content is templated and controlled by ReplyCX to ensure compliance with carrier and CTIA requirements.
Changes to Messaging Terms
We reserve the right to change these Messaging Terms at any time. Updates will be posted at this page and are effective immediately.
