  • Application: ReplyCX software installed on any device.
  • Application Store: Apple App Store or Google Play Store.
  • Affiliate: Any entity under common ownership or control.
  • Account: The profile you create to access the Service.
  • Country: Michigan, United States.
  • Company: Techalpha Group LLC, 41430 Grand River Ave, Suite D, 1st Floor, Novi, MI 48375 (“We”, “Us”, “Our”).
  • Content: Any data submitted or made available by You.
  • Device: Any device capable of accessing the Service.
  • Feedback: Suggestions or comments about the Service.
  • Free Trial: Temporary free use of the Service.
  • In-App Purchase: Purchases made through an application store.
  • Service: The Application, Website, or both.
  • Subscriptions: Paid recurring access to the Service.
  • Terms: These Terms & Conditions.
  • Third-Party Social Media Service: External integrated platforms.
  • Website: reply.cx, getreplycx.com, replycx.com.
  • You: Individual user or entity using the Service.

2. Acknowledgment

By accessing or using the Service, You agree to be bound by these Terms. You must be 18 or older. Use of the Service indicates acceptance of our Privacy Policy.

3. Subscriptions

3.1 Subscription Term

Some features require a paid subscription billed on a recurring basis.

3.2 Cancellation

Cancel in your account settings or via the Application Store. Paid periods are non-refundable.

3.3 Billing

Maintain accurate billing details. Failed auto-payments may generate invoices.

3.4 Fee Changes

We may change pricing with notice. Continued use implies acceptance.

3.5 Refunds

Fees are non-refundable unless required by law. In-app purchase refunds must be requested through the Application Store.

3.6 Free Trials

Trial periods may be offered. If you enter billing info, charges apply unless you cancel before trial ends.

4. In-App Purchases

  • Managed solely by the Application Store.
  • Non-refundable and non-transferable except as required by law or in technical error cases.
  • Refund requests must be made to the Application Store.

5. User Accounts

  • Provide accurate information.
  • Secure your login credentials.
  • You are responsible for account activity.
  • Usernames must not be offensive or infringe rights.

6. Communications Policy

ReplyCX may communicate with users via email, SMS, and WhatsApp (where supported and opted-in).

Alerts

Sent for:

  • Account creation & updates
  • Password/security changes
  • Service notifications
  • Transaction confirmations & critical account activity

Promotional Messages

  • Sent only with explicit consent
  • Opt-out anytime via unsubscribe link or opt-out prompts
  • Promotional messages cease once opt-out is processed

Two-Factor Authentication (2FA)

Used only for security verification via SMS or email.

Never used for marketing.

User Preferences

  • You may update notification and promotional settings in your account
  • Message frequency may vary based on activity, system updates, and compliance rules
  • Only channels you register or opt-in to will be used

By using the Service, you consent to these communications, subject to opt-in and opt-out rights and our Privacy Policy.

7. Content

7.1 Ownership

You retain ownership of Content but grant Us rights to store and distribute it within the Service.

7.2 Restrictions

You may not upload unlawful, harmful, or infringing content. We may remove such content and suspend access.

7.3 Backups

We attempt backups but cannot guarantee no data loss. Maintain your own backups.

8. Copyright

8.1 Claims

  • Location (URL) of violating content

9. Intellectual Property

All non-user content belongs to the Company. Unauthorized use is prohibited.

10. Feedback

Submitting Feedback grants Us full rights to use it without compensation.

11. Third-Party Links

Third-party content is accessed at your own risk.

12. Termination

We may suspend or terminate accounts for violations. Access ends immediately upon termination.

13. Limitation of Liability

Maximum liability: amount paid by You or $100 USD, whichever is lower.

No liability for indirect or consequential losses.

14. Disclaimer

Service provided “as-is” and “as-available” without warranties.

15. Governing Law

Governed by Michigan, USA law.

16. Dispute Resolution

Contact us for resolution. EU users retain local consumer rights.

17. U.S. Compliance

You certify you are not subject to U.S. sanctions or restricted lists.

18. Severability & Waiver

Invalid provisions do not affect the rest. Failure to enforce is not a waiver.

19. Language

English version controls in case of conflict.

20. Changes

We may update Terms with 30-day notice for significant modifications. Continued use equals acceptance.

Mobile Messaging Terms

Mobile Messaging Program Description
ReplyCX (“we,” “our,” “us”) operates a mobile messaging program (“ReplyCX Alerts”) subject to these Mobile Messaging Terms and Conditions.
By opting in, you agree to receive SMS and MMS messages from ReplyCX, which may include account authentication codes, account updates, loyalty notifications, order status updates, non-promotional greetings, and customer support communications.

Message Types & Frequency
Message frequency varies depending on your activity and interactions with participating merchants. Typical use cases include one-time passcodes (OTPs), account changes, order and pickup confirmations, loyalty program notices, and 1:1 customer support conversations (via live agent or automated assistant).

Charges & Carriers
Msg&data rates may apply. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your mobile service provider and network availability.

Opt-In
You may opt in through:Providing your mobile number during account creation, checkout, or loyalty enrollment with participating merchants, with an accompanying disclosure or by Texting an opt-in keyword (e.g., START or SUPPORT) to the ReplyCX short code

Opt-Out
You can cancel at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any ReplyCX message. After you send a STOP request, we will confirm by SMS that you have been unsubscribed. You will not receive further messages unless you re-enroll. To resubscribe, text START to the ReplyCX short code.

Messages may reference participating merchant names for context (e.g., “Your order from [[MerchantName]]…”), but the ReplyCX program is operated solely by ReplyCX. All messaging content is templated and controlled by ReplyCX to ensure compliance with carrier and CTIA requirements.

Changes to Messaging Terms
We reserve the right to change these Messaging Terms at any time. Updates will be posted at this page and are effective immediately.
