These Terms of Service (“Terms”) govern your use of the ReplyCX website (https://reply.cx) and all of its services and products (collectively, the “Platform” or “Services”), operated by ReplyCX Technologies Pvt. Ltd. (“ReplyCX”, “we”, “us”, or “our”).

Please read these Terms carefully before using the Platform.

By accessing or using ReplyCX, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you must not access or use our Services.

You may use our Services only for lawful purposes. You agree not to:

• Violate any applicable law or regulation.
• Exploit or harm minors in any way.
• Send unsolicited promotions (“spam,” “junk mail,” etc.).
• Impersonate ReplyCX or any individual or entity.
• Use the Services to violate rights, harass, threaten, or defraud others.
• Interfere with others’ access or the functionality of the Platform.
• Attempt to damage, overload, hack, or disrupt our Platform or related systems.
• Use bots, scrapers, or automated tools to access, copy, or monitor any part of the site.
• Introduce harmful code (viruses, malware, etc.).

You may be required to register to access some features. You’re responsible for keeping your account details confidential and for all activity under your account.

We may reclaim or deactivate your username if deemed inappropriate or misleading.

ReplyCX may offer a limited-time free trial. If billing details are collected, you will only be charged after the trial ends—unless cancelled before expiration.

We reserve the right to modify or cancel free trial terms at any time, without notice.

ReplyCX operates on a subscription model with monthly or annual billing cycles.

• Subscriptions auto-renew unless canceled.
• You must provide accurate billing details and a valid payment method.
• Failed payments will result in a manual invoice. If unpaid, service may be suspended.

We reserve the right to change subscription fees. Any updates will be communicated in advance, and you may cancel your subscription before changes take effect.

Continued use after changes indicates acceptance of the new pricing.

Refunds, if any, are issued solely at our discretion and evaluated case-by-case.

You are responsible for any content you upload via ReplyCX. By posting content, you confirm that:

• You have the legal right to use it.
• You grant us a license to use, reproduce, distribute, and display it within the Platform.

You retain ownership of your content, but ReplyCX may use it to improve or showcase platform features. We may remove any content violating rights or laws.

All other content on the Platform belongs to ReplyCX and cannot be copied or reused without permission.

By creating an account, you confirm you are 18+ and that the information provided is accurate.

• Your account data will be retained for 12 months from signup (adjustable based on plan).
  
• You are responsible for all actions under your account.
• Notify us immediately of any security breach.

You retain ownership of your content, but ReplyCX may use it to improve or showcase platform features. We may remove any content violating rights or laws.

All other content on the Platform belongs to ReplyCX and cannot be copied or reused without permission.

All content, logos, code, and materials on ReplyCX are our intellectual property.

• You may only use materials for personal or business purposes aligned with our Terms.
  
• No trademark or IP rights are transferred through these Terms.

ReplyCX may include links to third-party sites. We’re not responsible for their content, privacy practices, or services.

We recommend reviewing their terms independently before interacting with those sites.

We may suspend or terminate your account without notice if you violate these Terms.

Provisions that naturally survive termination (IP, warranties, indemnity, liability limits) will remain in effect.

You agree to indemnify and hold ReplyCX and its affiliates harmless from any claims, damages, or expenses resulting from:

• Your use of our Platform
• Your violation of these Terms
• Content or actions taken under your account

In no event will ReplyCX be liable for indirect, incidental, or consequential damages, including but not limited to:

• Loss of data
• Business interruption
• Loss of profits
• Unauthorized access to your account

ReplyCX is provided on an “as-is” and “as-available” basis. We disclaim any warranties—express or implied—including fitness for a particular purpose or non-infringement.

These Terms are governed by the laws of Mumbai, India, without regard to conflict of law principles.

Any disputes will be resolved under the jurisdiction of the Mumbai courts.

We reserve the right to update these Terms at any time. Continued use after changes implies your acceptance of the updated Terms.

Some jurisdictions may not allow certain limitations. In such cases, the relevant clauses may not apply to you, but all others remain in effect.
